Nicolai’s Advice

KYC/KYA – know-your-counterparty / know-your-asset.  It is essential to every deal that full and proper information with regard to your counterparty/ies in the transaction and with regard to the asset forming the object of the transaction are provided before commercial negotiations start in earnest and before any investment is made in the production of transaction documents.  Sellers and lessors of aircraft have an interest in maintaining proper records including provenance of title to the asset as this will improve marketability while buyers and lessees must ensure that all records are examined to their satisfaction before incurring transaction costs, particularly where external finance is required.


My interest in expertise in aviation law and aviation finance in particular evolved over time through practise.  On joining Fenech & Fenech I joined and eventually took ownership of the Firm’s portfolio of Malta’s national airline advising on numerous sale & purchase, sale leaseback, charter, financing and refinancing transactions.  Over the years the Firm acquired a reputation locally in the area and I continued to invest my efforts and time in developing the Firm’s Aviation Department and my knowledge base and expertise.  Following the recent ratification by Malta of the Cape Town Convention and Aircraft Protocol and the modernisation of Maltese laws regulating the registration of and security over aircraft I continue to pursue the area with interest.

Official Biography

Nicolai is a partner at Fenech & Fenech Advocates since 2004 and heads the Aviation Law Department, the Asset & Corporate Finance Department and the Commercial & Corporate Law Department of the Firm. Nicolai has vast experience in aviation specific transactions including aviation sale and purchase agreements, lease agreements and financing transactions having practised in this area since the year 2000.  Nicolai is also an experienced commercial and corporate lawyer having practised in this area for almost 20 years.  In particular his practise includes aircraft finance, commercial and corporate litigation, mergers & acquisitions and general commercial law.  Nicolai is an examiner at the Faculty of Law of the University of Malta.  He is a contributor to Aircraft Liens and Detention Rights (Sweet & Maxwell) and Aircraft Finance – Registration, Security and Enforcement (Sweet & Maxwell) and he is ranked and recommended in a number of peer-to-peer publications including Chambers Global, Chambers Europe, Legal 500, and the Martindale-Hubbell Law Directory
